Challenge

A $100 million architectural and engineering firm came to us for a multi-step asset sale plan strategy. 

Solution

Our plan resulted in the tax-free reorganization of multiple business entities, an installment sale buy-out of stakeholders, a tax-free sale of business to employees and a tax-free reinvestment for stakeholders into a real estate venture.  Step Plan included sale of personal goodwill and IRC §754 step up in basis. LHF drafted all of the contract terms, conditions, valuations and financial statement/tax return disclosures.

Challenge

A $300 million multi-national distributor needed a global reorganization strategy.

Solution

LHF created a plan that reduced U.S. tax expense by 23% annually.  We were also able to reduce annual compliance and regulatory costs.

A $200 million multi-national energy company needed a global reorganization strategy.

Solution

We developed a plan which reduced U.S. tax expense by 17% annually.

 

 

Challenge

An aerospace and transportation equipment manufacturing company came to us for a Research and Development study.

Solution

Our work with this company resulted in $100,000 in tax credits which were ultimately refunded.

 

 

Challenge

A $150 million multi-national beverage equipment manufacturer tasked us to analyze the advantages and risks of a potential reorganization.

 

Solution

After thorough research, we advised against the reorganization due to corporate inversion, business combination and IP transfer issues, saving the company approximately $25 million in U.S. income taxes.

 

 

Challenge

Analyze and maximize the IRC §199A Qualified Business Income Deduction.

Solution

We created financial modeling to analyze and maximize the Deduction for all of our clients. This included determining eligibility for the tax deduction and the classification as a qualified business or specified service trade or business. Our work ultimately provided millions of tax deductions for our clients – the largest of which was a $10 million tax deduction for an art dealer.

 

 

Challenge

A construction equipment rental business needed help preparing the business for sale.

 

Solution

We drafted the letter of intent terms and conditions and developed a multi-step asset sale plan strategy which resulted in the sale of the business for $85 million.

 

 

Challenge

A $1.5 billion multi-national bearing and machinery manufacturer asked for an IRC §59A base erosion (‘BEAT’) and IRC §163(j) business interest limitation analysis.

Solution

Our analysis helped the company save $10 million in U.S. tax expenses.

 

 

Challenge

A $200 million multi-national video arcade distributor hired us to develop a global reorganization strategy.

 

Solution

We discovered that they were subject to ‘GILTI’ tax which reduced U.S. tax expense by 17% annually.
